Terms of Service

Effective date: 2026-10-16 · Version 1.0

These Terms govern access to and use of the Atlasia platform (the "Service") provided by Atlasia SAS ("Atlasia", "we"). They form a contract between Atlasia and the organisation that subscribes or is invited to use the Service ("Customer", "you"). By creating an account, accepting an invitation, or using the Service, you accept these Terms. The Service is for professional, business use only; it is not intended for consumers.

1. The Service

Atlasia is a supply-chain ESG compliance platform that lets manufacturers and their suppliers store, organise, track and share compliance documents and status (an "ESG passport"), including expiry tracking, status indicators, a compliance overview, and document review workflows.

Atlasia is a software tool, not an advisor. We do not provide legal, regulatory, audit or certification services, and the Service does not determine or guarantee that you, a supplier, or a manufacturer complies with any law or standard (including the French duty-of-vigilance law, the German Supply Chain Act, CSRD/CSDDD, REACH, or conflict-minerals rules). Statuses, scores and readiness indicators are informational aids based on the documents and data entered; you remain solely responsible for your own compliance and for verifying the accuracy of your records.

2. Accounts and organisations

You must provide accurate account information and keep your credentials confidential. The Service is multi-tenant: users belong to one or more organisations, with roles that control access. An organisation administrator may invite users, assign roles, and invite suppliers. You are responsible for the acts of users in your organisation and for managing their access, including removing users who should no longer have it. You must be authorised to bind your organisation to these Terms.

3. Customer content

You and your organisation retain all rights to the data and documents you upload ("Customer Content"). You grant Atlasia a non-exclusive, worldwide licence to host, store, process, transmit, display and back up Customer Content solely to provide and secure the Service, including processing by our sub-processors (such as AI document analysis). You are responsible for having the right to upload Customer Content and to share it with the organisations you grant access to, and for ensuring it does not infringe third-party rights or law. Where Customer Content includes personal data, our Data Processing Agreement applies.

4. Acceptable use

You agree not to: use the Service unlawfully or to store unlawful content; upload malware; attempt to gain unauthorised access to the Service, other tenants' data, or underlying infrastructure; probe, scan or load-test without our written consent; reverse-engineer or copy the Service except as law allows; resell or provide the Service to third parties outside your organisation structure without our agreement; or use the Service to build a competing product. We may suspend access to address a material security risk, unlawful use, or non-payment, and will restore it once resolved.

5. AI features

Parts of the Service use third-party artificial-intelligence providers to help read, classify and summarise documents. AI output can be incomplete or wrong, is provided "as is" as an aid, and must not be relied on as the sole basis for any compliance, contractual or legal decision. We do not permit our AI providers to use your Customer Content to train their models.

6. Fees and subscriptions

Access to paid plans requires a subscription. Fees, plan limits (such as AI usage, storage quotas, number of members, and number of managed organisations), and the billing cycle are those shown at purchase or in your order. Unless stated otherwise, fees are exclusive of VAT and other taxes, are payable in advance, and are non-refundable except where required by law. We may change fees and plans on prior notice effective at your next renewal. Non-payment may lead to suspension or termination.

7. Availability, support and changes

We aim to keep the Service available but do not guarantee uninterrupted operation; it may be unavailable for maintenance or reasons outside our control. We provide support on a reasonable-efforts basis. We may improve or change features over time and will not materially reduce core functionality of a paid plan during its term without notice.

8. Intellectual property

Atlasia and its licensors own all rights in the Service, its software, design and content (excluding Customer Content). We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you give us may be used freely without obligation to you.

9. Confidentiality

Each party must protect the other's non-public information disclosed under these Terms and use it only to perform them. This does not apply to information that is public, independently developed, or lawfully received from a third party, or to disclosures required by law.

10. Warranties and disclaimers

Each party warrants it has authority to enter these Terms. Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all implied warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and that the Service will meet your compliance obligations or be error-free.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Each party's total liability arising out of or relating to these Terms is capped at the total fees you paid or owed to Atlasia in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law (including death or personal injury caused by negligence, fraud, or gross negligence).

12. Term and termination

These Terms run while you use the Service. Either party may terminate for the other's material breach not cured within 30 days of notice. On termination your right to use the Service ends; for 30 days afterwards you may export your Customer Content, after which we may delete it in line with the Privacy Policy and DPA. Invited supplier accounts may retain access to passports shared with other organisations as those organisations direct.

13. Indemnity

You will defend and indemnify Atlasia against third-party claims arising from your Customer Content or your use of the Service in breach of these Terms, to the extent permitted by law.

14. Governing law and jurisdiction

These Terms are governed by the law of France, excluding conflict-of-law rules. The courts of Narbonne, France have exclusive jurisdiction, subject to any mandatory law.

15. General

We may update these Terms on notice; continued use after the effective date means acceptance. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. If a provision is unenforceable, the rest stays in effect. These Terms, the Privacy Policy and the DPA are the entire agreement between us on their subject matter. Notices to Atlasia go to legal@atlasia.us.
